All Goods are supplied subject to the terms and conditions of sale set out in full below.

  1. Acceptance of orders
    Orders are only accepted subject to these Terms and Conditions of Sale.  No other terms (whether contained in any document issued by you or in any written or oral communication between the parties) shall apply to the contract nor shall these conditions be modified without our written agreement.
  2. Payment
    You must pay within 30 days of the end of the month after the month of supply.  No discount is allowable in consideration of settlement on or before due date.
  3. Delivery Date
    The dates quoted for delivery are estimates only.
  4. Title
    We retain ownership of the goods supplied to you and shall be entitled to dispose of them until

    we have received unconditional payment in full for all goods supplied by us.

    Or

    property in the goods passes to the purchaser from you by way of a bona fide sale at full market value whichever first occurs.
  5. Liability
    You should note on the carriers advice note any shortages or defects apparent on delivery.

    You must in any event within 48 hours after delivery inspect the goods and shall within that time notify us in writing of any error in quantity and any defect which is or which might reasonably be expected to be apparent on inspection.

    If your claim is substantial we will deliver the balance of the goods or replace the defective goods.

    Except as provided in this clause all conditions warranties and representations express or implied statutory or otherwise are hereby excluded.

    We shall in no circumstances be liable for any indirect or consequential loss.

    Except no liability for death or personal injury arising out of any negligence on our part, our liability hereunder and any liability of ours in part in relation to the goods sold advice given in relation thereto or any defect in them shall be limited to £1,000.
  6. Specifications
    We reserve the right to modify the design and specification of our goods at any time without notice.
  7. Law and Jurisdiction
    The proper law of the Contract shall be in English law and any difference or dispute hereunder shall except where otherwise herein provided be dealt with by the Courts of England, save that we shall be entitled to bring proceedings against you the Courts of jurisdiction where you reside or carry on business.
